Terms of Service

These Terms of Service (“Terms”) form a binding agreement between Signal, Inc. (“Signal,” “we,” “us”) and the business entity or individual accepting them (“Customer,” “you”), governing use of Signal’s hosted business phone system — including call routing, voicemail, auto attendants, call queues, call recording and transcription features, and related services (collectively, the “Service”).

1. The Service

The Service is a hosted, multi-tenant business telephone system delivered over the internet. It depends on third-party infrastructure and carriers Signal does not itself operate — internet connectivity, cloud hosting, and telephone carrier networks. Signal is not responsible for outages, latency, or failures originating in the public internet, your local network, or a third-party carrier’s network, except to the extent caused by Signal’s own gross negligence or willful misconduct. Signal may modify, suspend, or discontinue any feature with reasonable advance notice, except where immediate action is required for security, legal compliance, or to prevent harm.

2. Accounts and registration

You must provide accurate registration and billing information and keep it current, including a valid physical service address for each location where the Service is used (required for E911 compliance — see Section 5). You are responsible for all activity under your account, including actions by your employees, contractors, and end users, and for keeping login credentials confidential. Signal may suspend an account immediately, without prior notice, if it reasonably believes the account is being used fraudulently, to commit toll fraud, to violate Section 4, or in a way that poses a security risk to Signal’s network or other customers.

3. Fees and payment

Fees are as set out in your order form or Signal’s then-current published pricing, billed monthly in advance via the payment method on file. Usage-based charges (outbound call minutes, phone number rental, messaging, AI transcription minutes) are billed based on Signal’s own metering and are non-refundable once incurred, except for verified billing errors. Late payments may result in service suspension after fifteen days’ written notice. Fees are exclusive of applicable taxes, which you are responsible for, except taxes on Signal’s net income.

4. Acceptable use

You will not, and will not permit any user to:

  • Use the Service to transmit unsolicited bulk communications, robocalls, or messages in violation of the TCPA, the CAN-SPAM Act, the Telemarketing Sales Rule, or any state-level equivalent;
  • Engage in traffic pumping, toll fraud, call spoofing (except legitimate caller ID configuration Signal has approved), or any activity intended to defraud a carrier or another party;
  • Use the Service for any unlawful purpose, to harass, or to transmit content that infringes a third party’s intellectual property or privacy rights;
  • Attempt to reverse-engineer, resell without authorization, or interfere with the Service’s underlying infrastructure, including any attempt to gain unauthorized access to Signal’s systems, other customers’ data, or the carrier network;
  • Violate any applicable STIR/SHAKEN caller ID authentication requirement or 10DLC/messaging registration requirement.

Violation of this section is grounds for immediate suspension or termination, and you are responsible for any carrier fines, penalties, or fees Signal incurs as a result.

5. Emergency calling (911) disclosure

The Service supports 911 emergency calling (“E911”), but E911 over an internet phone service has material limitations compared to traditional landline 911: it may not function during a power or internet outage, if the Service is moved to a new physical location without updating the registered address, or if network congestion or an outage affects the underlying carrier.

You must register and keep current the physical address associated with each phone and extension for E911 routing, and must notify Signal immediately when a device is relocated. You are responsible for ensuring your own employees and end users receive and acknowledge this notice as required by applicable law.

6. Number porting and ownership

Telephone numbers provided as part of the Service are provisioned through Signal’s underlying carrier and remain subject to that carrier’s numbering rules. You may request to port a number away from the Service upon termination, subject to the receiving carrier’s standard porting process and timelines (typically 7–10 business days), applicable carrier porting fees, and your account being current. Signal does not guarantee port-out timelines, as these depend on third parties outside Signal’s control.

7. Data and privacy

Use of the Service is also governed by our Privacy Policy, incorporated by reference. You are solely responsible for obtaining any consents required by law before recording calls, sending messages, or processing any personal data of third parties through the Service — including any state-specific two-party call recording consent requirements.

8. AI-assisted features

The Service offers optional features that transcribe voicemails and summarize call recordings using third-party AI providers (currently including OpenAI and Anthropic, subject to change). Audio and transcript content processed by these features is transmitted to the applicable provider under that provider’s own data processing terms. Do not enable these features for calls involving legally protected categories of information (such as protected health information or payment card data) unless you have independently confirmed the relevant subprocessor agreement covers that data category. Signal does not currently maintain a Business Associate Agreement (HIPAA) or equivalent with its AI subprocessors. AI-generated transcripts and summaries may contain errors and are provided “as is,” without warranty of accuracy.

9. Intellectual property

Signal retains all right, title, and interest in the Service, its software, and documentation; these Terms grant you a limited, non-exclusive, non-transferable right to use the Service during the term of the agreement. You retain ownership of your own call data, recordings, and content (“Customer Data”), and grant Signal a limited license to process Customer Data solely to provide the Service.

10. Warranties and disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY STATED IN THESE TERMS, SIGNAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Signal does not warrant that the Service will be uninterrupted or error-free, or that emergency calling will function under all circumstances (see Section 5).

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL’S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE THREE (3) MONTHS PRECEDING THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY. Nothing in this section limits liability where such limitation is prohibited by law.

12. Indemnification

You will indemnify and hold Signal harmless from third-party claims arising from your violation of Section 4, your violation of applicable law (including TCPA or recording-consent laws), or Customer Data, except to the extent caused by Signal’s breach of these Terms.

13. Term and termination

These Terms remain in effect until terminated. Either party may terminate for convenience with thirty days’ written notice, or immediately for the other party’s material breach not cured within fifteen days of notice. Upon termination, your access to the Service ends; Signal will make Customer Data available for export for thirty days post-termination, after which it may be deleted. Number port-out requests (Section 6) should be submitted before termination takes effect.

14. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Venue for any dispute lies in the state or federal courts located in Orange County, Florida.

15. General

These Terms, together with the Privacy Policy and any order form, are the entire agreement between the parties. Signal may update these Terms with thirty days’ notice for material changes; continued use after the effective date of an update constitutes acceptance. If any provision is found unenforceable, the remaining provisions remain in effect.
